Terms of Use

Your agreement with TwinGiG AI as a Creator or User


1. Introduction

Welcome to TwinGiG AI ("Platform"), owned and operated by Agentic Labs Sdn. Bhd. ("we", "us", "our").

These Terms of Service ("Terms") govern your access to and use of the Platform, including:

  • (i) creating/building digital-twin agents ("Creators");
  • (ii) publishing and monetising agents; and
  • (iii) purchasing or using agents ("Users").

By registering for or using the Platform, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Platform.

If you are registering as a business or on behalf of a business, you represent and warrant that you have the authority to bind that business to these Terms.

You must comply with all applicable laws (including those in Malaysia) and these Terms at all times.

3. Account Registration & Security

You must register an account to build or publish agents, or to purchase and use agents on the Platform. When registering, you agree to:

  • Provide accurate, current, and complete information.
  • Keep your login credentials (including password) secure and confidential.
  • Be responsible for all activities that occur under your account.

You must notify us immediately if you become aware of any unauthorised use of your account or any other breach of security.

4. Creator / Publisher Obligations

As a Creator (agent publisher) on the Platform, you agree that:

  • (a) You own or have the necessary rights and permissions to all content, data, knowledge, persona configurations, and other inputs you provide for your agent.
  • (b) You will accurately describe your agent, including its capabilities, limitations, pricing, and usage rights.
  • (c) You will ensure that your agent is lawful, safe, and secure, and complies with any relevant regulations (for example, where your agent addresses professional services such as legal, medical, financial, or training-related advice).
  • (d) You grant us a non-exclusive, worldwide licence to host, distribute, and promote your agent via the Platform in order to operate and grow the service.
  • (e) You may set your own creator margin per credit used. Users pay only for credits they use, and no additional platform fee is added.
  • (f) You will not misrepresent the Platform as endorsing, guaranteeing, or being the vendor of your agent. You remain solely responsible and liable for your agent's performance, accuracy, safety, and compliance with applicable laws.

5. User / Buyer Obligations

As a User of agents on the Platform, you agree that:

  • (a) You select and use any agent at your own risk. You will review, verify, and validate outputs, especially where the agent is used for specialist or professional purposes.
  • (b) You will not use any agent to engage in illegal, harmful, immoral, fraudulent, deceptive, or regulated activities, unless you have obtained all necessary licences, approvals, or professional oversight required by law.
  • (c) You will respect the intellectual property and usage rights of Creators and the Platform. You will not reproduce, distribute, modify, export, or reverse engineer any agent or its content unless expressly permitted by the applicable licence or by the Creator.

6. Payments, Fees & Revenue-Share

Users pay only for credits they use. Creators earn GigCoin based on credits used. GigCoin may be withdrawn as money, subject to the exchange rate determined by the Platform owner from time to time.

  • Creators set a margin per credit for each agent. Users only see the credits used.
  • Creators can view GigCoin earned per agent for each usage in the dashboard.
  • Withdrawals are typically processed within 5 business days, subject to accurate bank details and payment provider requirements.
  • You (Creators and Users) are responsible for all applicable taxes, duties, and service charges related to your use of the Platform and any earnings or purchases.
  • We may hold funds or delay payouts as required by our payment processor or under applicable law.

7. Credit Refund Policy

Credits purchased on the platform are intended for service usage and are non-refundable during normal account activity. A refund of unused purchased credits may be requested only when a user permanently closes their account.

Conditions:

  • Used credits are non-refundable.
  • Promotional or bonus credits are non-refundable.
  • Refunds are processed only after account closure is completed.
  • Account closure is irreversible.
  • Refund requests must be submitted via email to [email protected].
  • Once approved, refund processing may take 5-10 business days to complete.
  • A refund processing fee may apply, depending on the payment method and transaction costs.
  • The platform reserves the right to reject refund requests in cases of abuse, fraud, or policy violation.

8. Intellectual Property

As a Creator, you retain ownership of your own content and agents. By publishing an agent on the Platform, you grant us the licences necessary to operate the Platform and provide services to Users (including hosting, displaying, distributing, and promoting your agent).

The Platform (including all branding, trademarks, logos, software, user interface, and backend systems) is owned by us or our licensors. Neither Users nor Creators acquire any ownership interest in the Platform's intellectual property.

We may collect and anonymise user interfaces, user conversations, logs, and related interaction data for analytics, improvement of the Platform, and other lawful purposes, as described in our Privacy Policy.

9. Prohibited Uses

You must not use the Platform or any agent for:

  • Illegal, fraudulent, or malicious purposes.
  • Activities that violate human rights or involve harassment, hate speech, discrimination, or incitement of violence.
  • Generating deepfakes, biometric surveillance, disinformation campaigns, or other manipulative content.
  • Providing or simulating professional services (including legal, medical, or financial advice) without proper disclosure, licensing, and professional oversight as required by law.
  • Uploading or processing sensitive personal data (as defined in the Privacy Policy) without adequate consent and lawful basis.
  • Reverse engineering, interfering with, or attempting to gain unauthorised access to the Platform's infrastructure, security features, or other users' accounts and data.

Violation of this section may result in suspension or termination of your account, removal of agents, and other actions as we deem necessary.

10. Disclaimers & Limitation of Liability

The Platform and all agents are provided on an "as is" and "as available" basis. We do not warrant that any agent will be error-free, uninterrupted, secure, or suitable for your particular purpose.

You understand and agree that you use the Platform and agents at your own risk. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the extent permitted by law, we are not liable for any loss or damage arising from:

  • your use of, or inability to use, the Platform or any agent;
  • errors or inaccuracies in agent outputs;
  • data loss, business interruption, or lost profits; or
  • any third-party claims against you.

Some jurisdictions (including Malaysia) may not allow the exclusion or limitation of certain liabilities. In such cases, the relevant parts of this section may not apply and our liability will instead be limited to the minimum extent permitted by applicable law.

11. Termination

We may suspend or terminate your access to the Platform (including removal or disabling of agents) if you breach these Terms, if we suspect misuse, or if we deem it necessary for operational or security reasons.

You may terminate your account at any time by following the instructions on the Platform or by contacting us.

Upon termination:

  • Your right to access the Platform and use agents will cease.
  • All licences granted to you under these Terms will immediately terminate.
  • You must cease all use of the Platform and any agent access provided through it, except as required by law.

12. Modifications to Terms

We may update or modify these Terms from time to time. When we do so, we will provide notice of material changes (for example, via email, in-app notifications, or a notice on the Platform).

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms or your use of the Platform shall be resolved in accordance with the dispute resolution mechanisms we may specify (including arbitration or mediation), failing which the courts of Malaysia shall have exclusive jurisdiction.

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.

14. Export Controls & Local Laws

You agree to comply with all applicable export control and sanctions laws. You will not access or use the Platform if you are located in, or a national of, a country or region subject to comprehensive sanctions, or if you are on any restricted or denied party list.

You are responsible for ensuring that your use of the Platform complies with local laws and regulations in your jurisdiction.

15. Miscellaneous

These Terms constitute the entire agreement between you and us regarding your use of the Platform, and supersede any prior or contemporaneous agreements, communications, or understandings.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of assets, or by operation of law.
